Youbetterfly garments trading LLC (“us”, “we”, or “our”) operates youbettertrade (the “Service”), an online marketplace that enables users to buy and sell unused consumer items through our mobile application (“App”). The Terms and Conditions of use, our Privacy Policy, our Marketplace FAQ’s (the “FAQs”) collectively describe the terms and conditions (“Terms”) upon which access to our app is provided to you. “You” refers to (a) the individual accessing these services (b) an agent accessing the sites on behalf of a business entity or individual. Your access to the Service is conditioned on your acceptance and compliance with these Terms. These Terms create a legal contract between you and us. The United Arab Emirates is our Country of Domicile. The Laws of the United Arab Emirates shall govern the use of the Site and the Terms of Use, without regards to conflict of laws principals. All disputes arising in connection therewith shall be heard only by a court of competent jurisdiction in U.A.E.

· Customer using the website who are Minor /under the age of 18 shall not register as a User of the website and shall not transact on or use the website.

· We will not trade with or provide any services to OFAC and sanctioned countries.

· Cardholder must retain a copy of transaction records and Merchant policies and rules.

· User is responsible for maintaining the confidentiality of his account.

· Visa or MasterCard debit and credit cards in AED will be accepted for payment

· The displayed price and currency at the checkout page, will be the same price and currency printed on the Transaction Receipt and the amount charged to the card will be shown in your card currency

By accessing or using the Service, or by agreeing to the Terms and Privacy Policy upon registration, you agree to be bound these Terms. If you disagree with any part of the Terms, then you may not access the Service. These Terms apply to all visitors who access or use the Service.

· Changes to Terms and Policies

Youbettertrade may in our discretion change these Terms (including the Privacy Policy and the FAQs or any policy) without notice to you. Changes take effect when we post them on our Sites. You should view these Terms often to stay informed of any changes that may affect you. YOUR CONTINUED USE OF THE SITE AND/OR SERVICES AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY OF THE CHANGES, YOU MUST CANCEL YOUR ACCOUNT AND NOT USE ANY PORTION OF THE SERVICES. The version of these Terms posted on our Sites on each respective date you visit the Sites will be the Terms applicable to your access and use of the Services on that date. Our electronically or otherwise properly stored copies of these Terms and the Privacy Policy shall be deemed to be the true, complete, valid, and authentic copies of the version of the Terms and the Privacy Policy that were in force on each respective date you visited the Sites. We reserve the right to terminate these Terms, or to refuse, restrict, or discontinue access to or use of the Services (or any portions, components, or features thereof) to you or any other person or entity, if you are in breach of the Terms or for any reason or for no reason whatsoever, at any time, without notice or liability.

· About the Youbettertrade Marketplace

Youbettertrade provides a live marketplace for buyers and sellers of certain consumer products. A description of the live marketplace process and the rules applicable to buyers and sellers is available on our FAQ page, as updated from time to time. Although the Services include buy and sell functionality:

o Youbettertrade facilitates the purchase transaction, but the actual purchase contract is directly between the buyer and seller;

o although Youbettertrade might provide historical pricing data and a recommended seller price for certain items, we do not set prices for the items;

o Youbettertrade acts as a commercial agent to conclude the sale on behalf of the buyer and seller involved in each transaction. Prices set on the marketplace are unlikely to be equivalent to the retail price of the item. Youbettertrade does not guarantee the sale of a listing. We reserve the right to investigate complaints and violations of these Terms and, to the extent permitted by applicable law, may take any actions we deem appropriate, including suspending your account. Although the Services are anonymous and we do not share your information with other buyers and sellers, we may be obliged to share your information with law enforcement and other third parties as part of an investigation related to any alleged violation of law or these Terms, and we may respond to all inquiries initiated by law enforcement or other governmental agencies.

 

 

 

 

· Fees, Discounts and Offers

A detailed description of all the fees incurred by buyers and sellers are described below: For Sellers: Transaction Fee (%) that covers youbettertrade’s commission percent and admin fees. Payment Processing Fee (%) that covers the charges of the payment gateway and bank fees on transfer. Shipping Fee that covers the shipping standard rate of picking up the shoe from the listed address to the fulfilment center. As a seller you need to make sure the listed item matches exactly the physical item on hand by looking at: 1- Model Number 2- Size (US) Once the seller receives an order confirmation, the sellers needs to prepare the shoe and ship it within 2 to 3 working days* by making sure the following: a- The item is double box to protect the case or original cover. b- The address of the destination is the main address of the fulfilment center listed in the email confirmation sent. Once the item is received by the fulfilment center, the seller will receive a notification after the legit check process is done and the payment will be ready as soon as the item passes for next delivery stage. Payments can be done by bank transfer or cash (picked up from the fulfillment center) and the amount will be the exact same amount agreed on after removing the fees when listing the item. We reserve the right to cancel any transaction due to legit-check failed items, fraudulent or unauthorized items listed on the platform.

For Buyers:

Transaction Fee (%) that covers youbettertrade’s commission percent and admin fees for authenticating. Payment Processing Fee (%) that covers the charges of the payment gateway. Shipping Fee that covers the shipping standard rate of delivering the shoe to the listed address to the fulfilment center. Youbettertrade may authorize the use of an alphanumeric discount code to certain users or for all users but a limited period of time. We reserve the right to cancel any transaction due to authorized, fraudulent or ineligible use of discount. We can cancel or modify a promotion as well in case of unforeseen problems at any time such as system errors, etc. Please carefully read the terms & conditions for any promotions offered. Discount is not applicable on shipping or VAT.

· Authentication, Shipping and Counterfeits

The seller is required to ship their sold item to Youbetterfly for authentication. Youbettertrade will then visually inspect the item and may utilize additional commercial methods to determine the authenticity of the item. If Youbettertrade is able to verify the authenticity of the item, it will be shipped to the buyer. In the event that Youbettertrade is unable to confirm the authenticity of the item, the buyer will be notified of their order cancellation and the seller will be notified that their item has failed verification. If a seller does not ship their order within the specified timeframe, they will be charged a penalty and the buyer will be refunded. Youbettertrade has the right, in our sole and absolute discretion to refuse or accept returns and to charge restocking fees for returned items. Youbettertrade has a zero-tolerance policy for counterfeit items. Youbettertrade reserves the right to do any or all of the following but not limited to:

o remove any or all of the seller’s listings from the Services;

o cancel any or all of the seller’s pending orders;

o withhold any pending payments to the seller;

o provide the counterfeit items to law enforcement or destroy them. Youbettertrade may also use fraud protection measures, including algorithms and automated systems to monitor for fraud, resulting in account suspension. If you believe this is inaccurate, contact us via e-mail. Additional verification may be required in the case of a high-value transaction.

We use Remal Delivery as a third party for logistics.

· Seller and Buyer Obligations

By listing an item for sale, you are making a binding offer to ship the item as per the specified timeframe and agree to sell the item for the list price. Failure to fulfill orders may result in a penalty. To view the fees applicable to sales transactions, please refer to the window when the list price is entered. As a buyer, your card is charged immediately upon purchase and funds are held in escrow until the transaction is complete. You may be required to pay certain fees as described when placing your order. Youbettertrade reserves the right to do any or all of the following in case a chargeback is requested. If there is a problem with the item received, contact us within 3 working days with a detailed description of the issue.

Youbettertrade does not guarantee the item will be received and shipped in case the seller sold the item outside the platform and kept his listing. In this case the customer will be notified and refunded in case youbettertrade couldn’t source an alternative item.

COPYRIGHT AND PROPRIETARY RIGHTS

All information, including, without limitation the design of the Site, and all information, text, graphics, images, illustrations, logos, designs, icons, photographs, video clips, and written or other materials software and all HTML, CGI and other codes and scripts in any format used to implement, or featured on, the Site (‘Content’) are the property of Youbetterfly, its merchandise suppliers, or its licensors.

The Content of this Site is for personal use only. Permission is granted to electronically copy and to print in hard copy portions of this Site for the sole purpose of placing an order with Youbetterfly.

You may not copy, modify, upload, download, transmit, (re)publish, create derivative works from, sell, re-sell or otherwise distribute or exploit any Content from the Site except as expressly permitted by these Terms. Doing so will violate Youbetterfly’s copyright.

We spent hours and nights working on the content, item by item. We appreciate your understanding! All Content on the Site is protected by the United Arab Emirates copyright, and youbetterfly is a registered trademark brand in the UAE.

COMMUNICATIONS PROVIDED BY CUSTOMER

Any communication or material you transmit to the Site by electronic mail or chat, including any data, questions, comments, suggestions, or the like is, and will be treated as, non-confidential and non-proprietary.

Anything you transmit or post may be used by Youbettertrade or its affiliates for any purpose, including but not limited to reproduction, disclosure, transmission, publication, broadcast, and posting. Furthermore, Youbettertrade is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the Site for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products using such information. By posting any communication or material on the site, you grant Youbettertrade and its affiliates a non-exclusive, royalty-free, perpetual, irrevocable, and fully indispensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such reviews and comments in an unlimited manner. You also grant Youbettertrade and its affiliates and sublicenses the right to use the name that you submit with any review or comment, if any, in connection with such communication./p>

LINKS TO THIRD PARTY SITES

Our Service may contain links to third party web sites or services that are not owned or controlled by Youbettertrade. Youbetterfly has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Youbettertrade shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or game or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

SHOPPING

Youbettertrade does not guarantee, warrant or endorse any product or service not manufactured or performed by Youbettertrade, nor do we have any liability or responsibility for the quality or performance of any product or service not manufactured or performed by Youbettertrade. You hereby agree to supervise usage by, and be responsible for the actions of, any minors who use your computer and/or registration account to access Youbettertrade.

Youbettertrade accepts Visa and Master cards.

PRIVACY

Youbettertrade agrees to adhere to all applicable United Arab Emirates laws, statutes, and regulations relating to the collection and use of personal information from Site visitors.

We will not trade or provide any services to OFAC and sectioned countries.

INDEMNIFICATION

You agree to defend, indemnify and hold Youbettertrade harmless and against any and all claims, damages, costs and expenses, including attorneys’ fees, arising from or related to your use of the Site.

TERMINATION

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
